Published Partnership Policy · Version 1.3 · Effective 4 November 2026

CRINEO INTERNATIONAL LIMITED ("CRINEO", "we", "us" or "our") welcomes responsible partnerships that support transparent international sourcing, procurement, trade coordination and sustainable commercial growth. This public policy explains how we consider, establish and manage business partnerships. It applies to prospective and approved partners, subject to each partner’s executed agreement and applicable law.

1. Purpose and principles

CRINEO approaches partnerships with integrity, transparency, mutual benefit, professionalism and respect for customer interests. We seek long-term relationships supported by verified capabilities, documented responsibilities and measurable performance.

In our managed sourcing and procurement services, CRINEO acts as an intermediary and coordinator. We pass the supplier price negotiated for a customer to that customer, without undisclosed product markups, and charge only the sourcing or procurement service fees expressly disclosed to the customer. Separate third-party costs are identified as applicable. Partnership arrangements must respect this pricing principle.

2. Eligible partnership categories

CRINEO may consider cooperation with:

  • Manufacturers, factories, authorized suppliers, wholesalers and export companies.
  • Freight forwarders, warehousing providers, inspection specialists and other logistics partners.
  • Banks and duly licensed financial or payment-service institutions.
  • Independent business-development representatives, regional commercial partners and other approved service providers.
  • Technology, platform, marketing and professional-service providers relevant to our operations.

Applicants must accurately identify whether they are a manufacturer, trader, authorized distributor, service provider or independent representative. Eligibility and approved activities may vary by country, product and regulatory requirements.

3. Verification and eligibility

Before approval, CRINEO may request company registration documents, business licenses, authorized-signatory information, corporate ownership or beneficial-ownership details where appropriate, factory or operating-site information, product specifications, genuine certifications, references, quality records and verified business-payment details.

CRINEO may use document checks, reference checks, product samples, independent inspections, factory visits or remote assessments. Submission of information does not guarantee approval. We may decline or discontinue proposals if information is inadequate, misleading, unverifiable or inconsistent with our compliance standards.

4. Enquiry, review and approval

Prospective partners should submit an introduction describing their company, relevant products or services, market coverage and proposed cooperation through CRINEO’s official channels.

Before submitting a formal online partnership enquiry, a prospective partner must review the current published Partnership Policy and actively confirm that its authorized representative has read, understood and accepts the enquiry and review conditions described in it. The acknowledgement is required to submit the online partnership application; it is not pre-selected or inferred from browsing.

This acknowledgement does not itself approve a partnership, establish exclusivity, authorize either party to incur costs, or constitute a signed commercial agreement. Separate commercial terms remain subject to due diligence, negotiation, written authorization and any required signed agreement. Applicants submitting an introduction through another official channel should reference the policy version reviewed; CRINEO may request the acknowledgement before initiating substantive partnership discussions.

For accountability, CRINEO may retain the acknowledged policy version, date and time of submission, and the representative and company details supplied with the enquiry, in accordance with its privacy notice and applicable data-protection obligations. Any optional marketing permission must be requested separately and must not be a condition of submitting an enquiry.

Our usual process is: enquiry; preliminary review; due diligence; discussion of operational and commercial terms; written approval; and, if suitable, a signed agreement or other expressly authorized written arrangement.

An enquiry, meeting, exchange of catalogues, product listing, sample review or draft proposal does not create an approved partnership, guarantee orders or authorize any person to act for CRINEO.

5. Non-exclusivity and independence

CRINEO normally enters into non-exclusive relationships and may work with multiple partners within the same product category or market. Any exclusivity must be expressly documented, limited as appropriate by territory, products, duration, performance and termination rights, and separately approved.

Unless a signed agreement expressly states otherwise, partners are independent businesses, not CRINEO employees, agents, subsidiaries, shareholders or joint-venture participants. Neither party may bind the other, issue contractual assurances on the other’s behalf or collect money in the other’s name without express written authority.

6. Commercial terms, fees and payments

Product prices, quantities, minimum order requirements, currencies, payment schedules, service fees, discounts, commissions, reimbursements and any other financial consideration must be clearly described in the applicable written quotation or agreement.

For CRINEO-managed sourcing transactions, supplier prices are communicated transparently to customers and CRINEO’s service fee is separately disclosed. Any supplier rebates, incentive payments or marketing support that could create a conflict of interest must be managed transparently and consistently with applicable agreements and customer obligations.

No partner may impose costs, purchase commitments, minimum-sales guarantees or other financial liabilities on CRINEO without prior written approval by a duly authorized representative. Payments must use verified, officially confirmed accounts and lawful channels. CRINEO does not act as an unlicensed bank or payment-service provider.

7. Product information, samples and quality

Manufacturers and suppliers are expected to provide accurate product descriptions, specifications, country-of-origin information, relevant standards and certifications, applicable minimum order quantities, realistic lead times, warranty terms and any material limitations or safety information.

CRINEO generally seeks complimentary evaluation samples first. Where a sample fee is unavoidable, any cost sharing, reimbursement, delivery cost or deduction against a future order must be agreed in writing before any payment. CRINEO does not automatically undertake to pay full sample costs.

Inspections, tests, replacement responsibilities and remedies for non-conforming products are agreed according to the products and transaction. Supplier verification reduces risk but does not independently guarantee performance or quality.

8. Marketing, advertising and content use

CRINEO and its partners may agree to undertake specific paid advertising or international market-development campaigns. Financial contribution is mandatory only for a specific paid campaign that both parties have expressly approved in writing, including each party’s contribution. It is not a general condition of becoming or remaining a strategic partner.

Before a campaign begins or any related expenditure is incurred, authorized representatives of both parties must agree in writing on its objectives, scope, target markets, channels, duration, total budget, each party’s contribution amount or proportion, spending caps, permitted expenditure, payment schedule, creative materials, reporting and performance-review dates. These terms must be recorded in a signed campaign agreement or campaign schedule under the partnership agreement. Each party must pay its agreed contribution according to that schedule; no universal contribution percentage applies.

Preliminary enquiries, document reviews and partnership discussions create no advertising payment obligation. Partnership approval or signing a general partnership agreement alone does not authorize a campaign or create an advertising contribution obligation. Either party may decline a proposed campaign before approval without automatically ending the wider partnership. Each party remains responsible for its own general corporate advertising.

No advertising expense may be incurred in the other party’s name, or beyond an approved budget, without advance written authorization. Changes to an approved campaign’s budget, contributions or payment terms require mutual written approval. Product materials or other nonfinancial support do not replace an agreed financial contribution unless both parties expressly approve the change in writing. Promotion, leads and exposure do not guarantee sales or order volumes.

Use of a partner’s product photographs, videos, catalogues, trademarks or other materials requires the necessary rights and prior permission. Content must be accurate, lawful and consistent with approved branding.

9. Customer relationships and confidential information

Partners must respect the confidentiality of customer enquiries, supplier quotations, purchase plans, business introductions, negotiated terms, personal information and other information shared for an approved commercial purpose.

Information received through a CRINEO collaboration may be used only for the authorized purpose and may not be sold, disclosed or used to bypass agreed commercial arrangements. Any transaction-specific customer-introduction protections, non-circumvention obligations or confidentiality periods must be detailed in the signed agreement.

10. Procurement, logistics and fulfilment responsibilities

Each transaction should document the approved product specifications, prices, quantity, packaging, production and inspection arrangements, shipment terms, documentation, timelines and allocation of applicable customs, taxes, storage, insurance and delivery costs.

Where relevant, the parties should expressly identify the applicable Incoterms® rule and named place. International shipping, customs clearance and delivery can be affected by third parties and government requirements. No delivery or performance guarantee is implied by this policy alone.

11. Compliance, ethics and responsible conduct

All partners must comply with applicable laws and regulations, including those related to anti-bribery and corruption, anti-money laundering, sanctions, export controls, customs, product safety, fair advertising, intellectual property, labor standards and privacy.

Partners must not offer improper inducements, present falsified licenses or certificates, misrepresent CRINEO’s ownership or authority, use unauthorized payment channels or engage in deceptive business practices. CRINEO may suspend a review or cooperation where credible compliance or reputational concerns arise.

12. Privacy and data protection

CRINEO and its partners must collect and handle personal information only for legitimate, stated purposes, protect it using appropriate safeguards and comply with applicable data-protection law, including Ghana’s Data Protection Act, 2012 (Act 843) where relevant.

Cross-border sharing of business-contact or customer data must be limited to what is necessary and protected by appropriate lawful arrangements. Specific privacy responsibilities, security expectations and incident notification procedures may be established by a separate written agreement and CRINEO’s published privacy terms.

13. Branding and public representations

No partner may describe itself as an exclusive CRINEO representative, registered office, branch, director, employee or authorized payment collector unless that status has been expressly approved and is legally accurate. Use of either party’s name, logo, endorsements, advertisements or public announcements requires prior written consent.

CRINEO’s international contact points and independent service providers do not, by themselves, imply common ownership or authority to execute contracts on behalf of CRINEO.

14. Review, duration and termination

CRINEO may propose limited pilot cooperation, including a 90-day evaluation where suitable, before considering a longer relationship. Pilot length, performance criteria, renewal, suspension and termination rights will be set out in the applicable agreement.

When cooperation ends, the parties must address ongoing customer orders, outstanding approved payments, permitted use of confidential information and brand assets, return or disposal of data, and other surviving obligations as required by law and contract.

15. Enquiries, concerns and dispute handling

Partners should raise commercial questions, complaints and suspected misconduct promptly through CRINEO’s official channels, providing relevant documentation. The parties should first attempt good-faith resolution. Any formal dispute process, applicable law or forum will be governed by the signed agreement and mandatory law.

16. Status of this policy and updates

This document outlines CRINEO’s general partnership approach and is provided for transparency. It is not an offer, a promise of exclusivity, a guarantee of sales or a binding partnership agreement. A separate written agreement signed by authorized representatives is required for enforceable commercial commitments.

Where a duly executed agreement conflicts with this general policy, that agreement governs the relevant partnership, subject to applicable law. CRINEO may update this public policy prospectively; material changes will not retroactively alter existing signed contractual rights or obligations without the parties’ agreement.
